Parayma Affiliate Program Terms & Conditions

This Affiliate Agreement (“Agreement”) is entered into between Parayma (hereinafter “Parayma,” “Company,” “we,” “our,” “us”) and you, the Affiliate (hereinafter “Affiliate,” “you,” “your”). Together, the Company and the Affiliate will be referred to as the “Parties.”
By joining and participating in the Affiliate Program offered by Parayma, you agree to be bound by these Terms and Conditions, whether you have read them or not.

1. Affiliate Enrollment
To participate in the Affiliate Program you must:
- Complete the application process through Kajabi, and receive the acceptance email from the Parayma team
- Agree to these Terms and Conditions, and
- Provide a valid PayPal account for commission payments.
We reserve the right to reject or terminate applications at our discretion.

2. Program Description
The Affiliate Program allows approved Affiliates to earn a commission by promoting Parayma’s Change Compass program through unique affiliate links. At this stage, only the Change Compass is covered by the Affiliate Program.

3. Affiliate Links & Cookies

Affiliates will receive a unique affiliate link through Kajabi.

Kajabi uses cookies to track sales. Cookies remain valid for 90 days unless cleared by the user.

The commission is credited to the last affiliate link clicked before purchase.

Parayma is not responsible for cookies intentionally deleted, blocked, or lost due to user actions or browser settings.

4. Affiliate Commissions

You will receive per-sale affiliate commissions in the amount of 10% of the gross sales that we receive from customers for the purchase the Change Compass

 Word of mouth referrals will not result in an affiliate commission being generated. Commissions will only be paid on sales that are made when the customer clicks through qualified, correctly structured Affiliate Links within 30 days. Properly coded links, and distribution thereof, are the sole responsibility of the affiliate.

Commission is payable in Euros (€).

Commission is a one-time payment per sale (not recurring).

For purchases made on installment plans, commissions are only paid once the customer has paid in full.

No commissions will be paid for sales made before your enrollment as an Affiliate.

Affiliates may not self-refer or purchase via their own affiliate links.

5. Payment of Commissions

All commissions are subject to a 30-day holding period to allow for refunds and cancellations.

Commissions are paid quarterly via PayPal and you are responsible for any and all transaction fees.

If a refund or chargeback occurs after a payout, the negative balance will be deducted from future payouts. If you terminate your affiliate account with a negative balance, an invoice will be generated and you will be responsible to pay the outstanding balance within 30 calendar days.

Affiliates are responsible for all taxes and reporting obligations in their jurisdiction.

You agree to ensure that your information, including, but not limited to, your name, email address, payment information, and any other details we may require are kept up to date. Your commission payments will be suspended until we have all required information. Payment on your suspended commissions can be claimed up to 30 days from the date they would have otherwise been due to be paid. After the 30 day timeframe, you forfeit any accrued, unpaid commissions.

6. Order Fulfillment & Customer Relationship

Parayma is solely responsible for processing orders and handling customer service.

Customers who purchase via affiliate links are customers of Parayma.

Affiliates may not use customer information for any purpose.

7. Marketing & Promotion Rules
Affiliates are encouraged to share their authentic experiences with Parayma in their own voice, whether through social media, email, blogs, or personal conversations. All promotion must be truthful, respectful, and aligned with the values of Parayma.
We strictly prohibit Affiliates from engaging in spam, misleading tactics, or other forms of abuse. “Spam” includes, but is not limited to:
- Unsolicited emails: Messages sent to recipients with whom you do not have an existing business or personal relationship, or where the recipient has not expressly opted in.
- Social media/group posting abuse: Posting your affiliate links in unrelated groups, on message boards, or in forums in a way that is off-topic, excessive, cross-posted, or against community rules. If a group owner or moderator reports inappropriate posting, your affiliate account may be permanently terminated after review.
- Cold or deceptive direct messages (DMs): Sending private messages to individuals you do not know, using generic or misleading scripts, or pressuring recipients to buy.
- Misleading claims: Making promises about results that cannot be substantiated, exaggerating benefits, or presenting yourself as part of the Parayma team.
- Offline spam-like activities: Distributing flyers, posters, or other promotional materials on private property, or where prohibited by applicable law or regulations.

Prohibited Conduct
As an Affiliate, you agree that you will NOT:
- Misrepresent yourself as being part of the Parayma team, or suggest that you are an official representative of the brand.
- Run paid ads, including but not limited to Google Ads, Facebook Ads, or other PPC/PI campaigns, using “Parayma,” “Change Compass,” or “Nora Wilhelm,” including misspellings or variations.
- Create, share, or promote unauthorized coupons or discounts.
- Post your affiliate links directly on Parayma’s social media channels or in comments to attempt to capture referrals.
- Use “Parayma” or “Nora Wilhelm,” including misspellings or variations, in your social media handles, usernames, or page names.
- Engage in any behavior that is fraudulent, harmful, or damaging to our reputation, including black hat SEO tactics such as cloaking, keyword stuffing, sneaky redirects, link farming, or comment spamming.

Permitted Conduct
As an Affiliate, you MAY:
- Use official promotional materials provided by Parayma in the Affiliate Area.
- Share genuine, personal experiences and recommendations in your own words.
- Promote Parayma through your existing platforms (social media, blogs, email newsletters) provided that your audience has opted in to receive communications from you.
If you are ever unsure whether a specific form of promotion or branding is permitted, you must email [email protected] for clarification before proceeding.
Violations of this Section may result in immediate termination from the Affiliate Program and forfeiture of any unpaid commissions.

8. Affiliate Code of Conduct
Affiliates must not:
- Promote sexually explicit, violent, discriminatory, or illegal material.
- Promotes or engages in discrimination based on race, color, religion or creed, National origin or ancestry, sex, age, physical or mental disability, veteran status.
- Promotes illegal acts.
- Speak dishonestly about Parayma or its programs.
- Infringe intellectual property rights of others.
- Engage in spam (email, social media, or otherwise).
Violations may result in immediate termination and forfeiture of unpaid commissions.

9. Disclosure Requirements
Affiliates must comply with disclosure laws in their jurisdiction, including but not limited to:
- FTC guidelines (USA),
- EU consumer law,
- Australian Competition & Consumer Commission (ACCC) guidelines.
Disclosures must be clear, visible, and close to the affiliate link.

10. Intellectual Property

Affiliates are granted a limited, non-exclusive, revocable license to use Parayma promotional materials related to the Changework Compass program.

You may not alter logos, trademarks, or official graphics.

No intellectual property rights are transferred to you by this Agreement.

Upon termination, all licenses immediately end.

11. Independent Contractor Status
Affiliates are independent contractors, not employees or representatives of Parayma. Nothing in this Agreement creates a partnership, joint venture, or employment relationship. Affiliates may not bind Parayma to contracts or make representations on its behalf.

12. Earnings Disclaimer
Affiliate income depends on your individual efforts, marketing ability, and circumstances. Parayma makes no guarantees regarding earnings.

13. No Warranty; Disclaimer; Assumption of Risk; Limitation of Liability
Use of the Affiliate Program, parayma.co (the “Website”), the Kajabi Affiliate Area, and any promotional materials we provide (collectively, the “Parayma Materials”) is at your sole discretion and risk. You are solely responsible for any damage to your systems, loss of data, or other harm resulting from your access to or use of the Parayma Materials.
THE AFFILIATE PROGRAM, THE PARAYMA MATERIALS, AND THE WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING (WITHOUT LIMITATION) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. We do not warrant that the Affiliate Program, the Parayma Materials, or the Website will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components, or that defects will be corrected. We make no warranty as to the results that may be obtained from participation in the Affiliate Program or use of the Parayma Materials, or that the Program will be available for any particular period.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PARAYMA AND/OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR PARTNERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF DATA, BUSINESS INTERRUPTION, FAILURE TO STORE INFORMATION, OR OTHER COMMERCIAL LOSS), WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR RELATING TO (i) THE AFFILIATE PROGRAM OR THESE TERMS, (ii) YOUR USE OF OR INABILITY TO USE THE PARAYMA MATERIALS OR WEBSITE, (iii) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE WEBSITE OR KAJABI, (iv) DEALINGS WITH VENDORS OR OTHER THIRD PARTIES, OR (v) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
AGGREGATE CAP. To the maximum extent permitted by applicable law, Parayma’s cumulative liability to you for any and all claims arising out of or related to this Agreement shall not exceed the total Affiliate commissions actually paid to you during the one (1) month immediately preceding the event giving rise to the claim.
LOCAL LAW PRESERVATION (SWITZERLAND). Nothing in this Section is intended to exclude or limit any liability which cannot be excluded or limited under Swiss law (e.g., liability for wilful misconduct or gross negligence to the extent not waivable under mandatory law). All exclusions and limitations shall apply to the fullest extent permitted by law.
By participating in the Affiliate Program, you acknowledge and accept these limitations and release Parayma from any and all claims to the extent permitted by law.

14. Indemnification; Defense; Cooperation
You agree at all times to defend, indemnify, and hold harmless Parayma and its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or related to: (a) your participation in the Affiliate Program; (b) your content, statements, or marketing communications (including testimonials or performance claims); (c) your breach of this Agreement or of any representation, warranty, or obligation herein; (d) your violation of any applicable law, regulation, or guideline (including advertising disclosure rules, unfair practices, privacy/data protection, and anti-spam/unsolicited communications laws in your jurisdiction); (e) any alleged or actual infringement, misappropriation, or violation of any third-party rights (including intellectual property, publicity, or privacy); and/or (f) your misuse of the Parayma Materials.
Control of Defense. Parayma may, at its option, assume the exclusive defense and control of any matter otherwise subject to indemnification by you; in such case, you agree to cooperate fully and promptly (at no charge) with Parayma in the defense, including providing documents, testimony, evidence, and other information reasonably requested. You shall not settle any claim without Parayma’s prior written consent, and Parayma may not settle any claim in a manner that imposes non-monetary obligations on you without your consent (not to be unreasonably withheld).
Survival. Your obligations under this Section shall survive termination of the Affiliate Program and/or this Agreement.

15. Term & Termination

Either party may terminate this Agreement at any time, with or without cause.

Breach of these Terms may result in immediate termination and forfeiture of unpaid commissions.

Upon termination, you must remove all Parayma materials, links, and trademarks within 14 days.

Any affiliate commissions due at the time of termination will be paid in accordance with the regular payout cycle if your termination is for any reason other than failure to comply with these Terms and Conditions.Â

16. Amendments
Parayma reserves the right to modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but are not limited to, changes in the scope of available referral fees, fee schedules, payment procedures and Program rules. Continued participation in the Program will be considered your acceptance of any and all change(s) to this Agreement.

17. Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of Switzerland.
Any disputes shall be resolved exclusively in the courts of Switzerland.
In the event that Parayma must make a claim for any breach of these Terms and Conditions by negotiation, litigation, mediation, or arbitration, we shall be entitled to recover attorney’s fees and costs.Â

18. Severability
If any provision of this Agreement is found invalid, the remaining provisions shall remain in full effect.

19. Entire Agreement
This Agreement constitutes the entire agreement between the Parties with respect to the Affiliate Program and supersedes all prior understandings.
